Terms and Conditions

Last updated: 16 September 2026

These Terms and Conditions ("Terms") govern your use of the SkyScale website at skyscale.com.au (the "Website") and, together with any written proposal, quote or service agreement we provide (an "Engagement Document"), the services we supply to clients. SkyScale (ABN 50 693 157 523) ("SkyScale", "we", "us" or "our") is an AI search optimisation and digital marketing agency based at 20 Queens Road, Melbourne VIC 3004, Australia.

By using the Website or engaging our services you agree to these Terms. If you are entering into these Terms on behalf of a business, you confirm you have authority to bind that business. If you do not agree, please do not use the Website or our services.

Part A – Use of the Website

1. Information on the Website

The content on the Website – including articles, guides, audits, case studies and tools – is provided for general information only. It is not professional, legal or financial advice, and it does not take into account your particular circumstances. While we aim to keep the Website accurate and up to date, AI search platforms and search engines change frequently, and we do not warrant that the content is complete, current or error-free. You rely on it at your own risk.

2. Free audits and tools

We may offer free AI visibility audits, checklists or other tools. These are provided "as is" to help you understand your current position. Results are indicative only, may be based on automated queries of third-party AI systems at a point in time, and do not guarantee any outcome. Requesting a free audit does not create a client relationship or oblige either of us to enter into an engagement.

3. Acceptable use

You must not use the Website to do anything unlawful, to submit false or misleading information, to send spam or malicious code, to scrape or copy our content in bulk, to interfere with the Website's operation or security, or to attempt to gain unauthorised access to any system.

4. Intellectual property

The Website and its content – including text, graphics, logos, the SkyScale name and brand, methodologies and frameworks – are owned by or licensed to SkyScale and protected by copyright and trade mark laws. You may view, download and print content for your personal or internal business use. You may quote short excerpts with attribution and a link back to the source page. You must not otherwise reproduce, republish, adapt or commercially exploit our content without our written permission.

5. Third-party links and platforms

The Website links to third-party websites and AI platforms (such as ChatGPT, Google, Perplexity, Claude and Gemini). We do not control and are not responsible for their content, availability, terms or privacy practices. Links do not imply endorsement.

6. Testimonials and case studies

Results shown in testimonials and case studies are specific to those clients and the conditions at the time. They illustrate what has been achieved in particular circumstances and are not a promise that you will achieve the same or similar results.

Part B – Our services

7. Engagement and scope

The services we provide, deliverables, timelines and fees are set out in the relevant Engagement Document. If there is an inconsistency between these Terms and an Engagement Document, the Engagement Document prevails for that engagement. Work outside the agreed scope will be quoted separately and requires your approval before we proceed.

8. Fees and payment

Fees are stated in Australian dollars and, unless otherwise stated, exclude GST. Invoices are payable within the period stated on the invoice (or 14 days if none is stated). Recurring services are invoiced in advance for each period. We may pause work on overdue accounts after giving notice, and may charge reasonable costs of recovery for amounts that remain unpaid. Fees for work already performed are non-refundable except as required by law.

9. Your obligations

To let us deliver the work you agree to: provide timely access to the accounts, platforms, content and information we reasonably require (for example your website, Google Business Profile and analytics); ensure you have the right to give us that access and to use any material you supply; review and approve deliverables within a reasonable time; and tell us promptly if your business details, services or objectives change. Delays in providing access or approvals may extend timelines.

10. No guarantee of rankings or outcomes

AI search platforms and search engines are operated by third parties, and their results depend on factors outside anyone's control, including their algorithms, models, indexing, policies, competitor activity and user behaviour. We will perform our services with due care and skill using our best professional judgement, but we do not guarantee any particular ranking, mention, citation, recommendation, traffic level, lead volume or revenue. Any figures in proposals or reports are estimates and projections, not promises.

11. Content and approvals

You are responsible for the accuracy and legality of information about your business, products, prices and claims that you supply or approve. Content we create will be provided for your review before publication where practicable; approval by you confirms it is accurate and may be published. We will not knowingly use deceptive practices, fabricated reviews or techniques that breach the published policies of the platforms we work with.

12. Intellectual property in deliverables

On payment in full, you own the final deliverables created specifically for you (such as website copy, articles, schema and profile content). We retain ownership of our pre-existing materials, methodologies, frameworks, templates, tools and know-how, and grant you a non-exclusive licence to use them as incorporated in your deliverables. You retain ownership of your own brand, content and data. We may refer to you as a client and describe the work in general terms in our portfolio and marketing unless you ask us not to in writing.

13. Confidentiality

Each of us will keep the other's confidential information confidential and use it only for the purposes of the engagement, except where disclosure is required by law or the information is already public. This obligation continues after the engagement ends.

14. Privacy

We handle personal information in accordance with our Privacy Policy. Where you give us access to personal information about your customers, you confirm you are entitled to do so and we will handle it only as needed to perform the services.

15. Term, termination and pausing

Project engagements end when the deliverables are completed and paid for. Ongoing (retainer) services continue for any minimum term stated in the Engagement Document and then month to month, and either party may end them by giving at least 30 days' written notice. Either party may terminate immediately if the other commits a material breach that is not remedied within 14 days of notice, or becomes insolvent. On termination you must pay for work performed up to the termination date, and we will hand over completed deliverables that have been paid for and return or revoke access to your accounts.

16. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded. Where we are permitted to limit our liability for a breach of a consumer guarantee, our liability is limited to re-supplying the services or paying the cost of having them re-supplied.

17. Limitation of liability

To the maximum extent permitted by law: (a) we are not liable for any indirect or consequential loss, loss of profit, revenue, business, goodwill or data, or for any loss arising from changes made by third-party platforms, search engines or AI systems; (b) our total aggregate liability to you arising out of or in connection with the Website or an engagement, whether in contract, tort (including negligence), statute or otherwise, is limited to the fees you paid us in the six months before the event giving rise to the claim; and (c) you agree to indemnify us against claims arising from content or information you supplied or approved, or from your breach of these Terms.

18. Disputes

If a dispute arises, each party agrees to first raise it in writing and to meet (in person or online) in good faith to try to resolve it within 14 days before commencing any legal proceedings, other than for urgent relief.

Part C – General

19. Changes to these Terms

We may update these Terms from time to time by publishing the revised version on this page with a new "last updated" date. Changes apply to Website use from publication, and to existing engagements from the start of the next billing period or as otherwise agreed.

20. General

These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of Victoria. If any provision is found to be invalid, the remainder continues in effect. Neither party is liable for delay caused by events beyond its reasonable control. These Terms, together with the relevant Engagement Document and our Privacy Policy, are the entire agreement between us regarding their subject matter. We may assign or subcontract our rights and obligations, but remain responsible for our subcontractors.
